TERMS OF SERVICE  

Effective Date: January 3, 2025 

By engaging in coaching services with Mind Impact Ltd (dba Mind Shift), or its employees or associates, you agree to the following terms of service.

1. Scope of Coaching

Coaching is a professional relationship focused on facilitating personal, relational, and professional growth. Coaching is not therapy, consulting, or mentoring, and does not diagnose or treat mental disorders. You, the Client, are fully responsible for your physical, mental, and emotional well-being throughout the coaching process.

2. Session Logistics

  • Standard coaching sessions are 60 minutes in length and typically occur weekly, unless otherwise agreed to the contrary.

  • All sessions take place virtually unless otherwise arranged.

  • Clients are responsible for arriving on time. Sessions will not be extended for late arrivals.

  • If you are more than 15 minutes late, the Coach reserves the right to consider the session forfeited.

3. Rescheduling and Cancellation

  • A minimum of 24 hours’ notice is required to reschedule a session.

  • Missed or late-canceled sessions (less than 24 hours) may be forfeited without refund.

  • Rescheduling requests must be made via email or agreed communication method.

4. Payment & Refund Policy

  • All coaching packages must be paid in full or according to the agreed payment schedule.

  • Payments are non-refundable after the first session has occurred.

  • If you cancel prior to the first session, you are entitled to a full refund.

  • In cases of serious and unforeseen hardship (e.g., medical emergency), a partial pro-rated refund may be considered at the Coach’s sole discretion.

5. Confidentiality

  • All information shared during coaching is kept strictly confidential, unless:

    • The Client gives written consent for information to be shared;

    • There is risk of harm to the Client or others, or disclosure is required by law.

  • Confidentiality excludes public reviews, testimonials, or social media engagement.

6. Between-Session Communication

  • Clients may text with brief updates or questions between sessions.

  • The Coach aims to respond within 24–48 hours on business days.

  • Extensive support outside of sessions may require additional billing

7. Coach’s Commitment to Ethical Practice

Our coaching services adheres to the highest standards of ethical practices, aligned with the highest global professional coaching standards. This includes:

  • Respect for client autonomy and dignity.

  • Non-judgmental, inclusive, and equitable practice.
    Avoiding dual relationships or conflicts of interest.

  • Upholding confidentiality and trust.

  • Ongoing commitment to professional development and self-awareness.

8. Disclaimer and Limitation of Liability

Coaching is not therapy, consulting, or mentoring, and your coach makes no guarantees about specific outcomes. Results depend on your commitment, engagement, and follow-through. You agree not to hold the Coach liable for any decisions, actions, or results related to your coaching experience. The Client is fully responsible for their physical, mental, and emotional well-being throughout the coaching process

9. Intellectual Property

All materials, frameworks, and tools shared during coaching are proprietary. You may use them for personal development but may not reproduce, distribute, or teach them without written permission.

10. Payment Terms and Fee Policy

Our experience, backed by industry insights, shows that clients who are fully committed to their coaching process reach their goals faster and more effectively than those who aren’t.
To support this level of commitment, we ask clients for an upfront commitment investment prior to beginning coaching services. This policy also helps eliminate unnecessary administrative overhead. Billing as follows:

  • 12 session package - paid in full in advance

  • 25 session package - split equally into two payments, the first payment is paid in advance, and balance paid in month two

  • 50 session package - split equally into three payments, the first payment is paid in advance, and balance over the following two months

  • Tailored packages and rates are available upon request.  

  • Sliding scale discounts are available on a needs based assessment, and may be requested for in writing, to hello@mind.us  

  • Any adjusted rates will be reflected in your coaching agreement, and will be provided prior to engagement start.
